Terms and Conditions for Commercial Users of HomeStar Bank & Financial Service's Online Banking Products and Services

HomeStar Bank hereby publishes the following terms and conditions for commercial use of HomeStar Bank & Financial Service's Online Banking, which includes but is not limited to online access to HomeStar Bank accounts, loans, certificates of deposits and other products and other services added from time to time, but expressly excludes online Bill Payment services. These terms and conditions apply to and govern the commercial user's (hereinafter referred to as the "Commercial User" or the "User") use of HomeStar Bank Online Banking (hereinafter referred to as "HomeStar OnLine"). HomeStar Bank reserves the right to modify these terms and conditions at any time, effective upon publication. Commercial User's use of HomeStar OnLine constitutes agreement to these terms and conditions and any modifications thereof.

  1. Following are the general standards for determining the eligibility of a commercial customer's use of HomeStar OnLine.
    • The commercial customer's account(s) has/have been in good standing and is/are not a problem account, in the sole discretion of the Bank.
    • On deposit accounts, the account must not require two signatures.
    • The account should be a business with limited number of signers and infrequent turnover in staff, in the sole discretion of the Bank.
    • The commercial customer's business does not outsource its account management, tracking and/or balancing.
    • The same individuals are the owners and signers on the account, i.e. individuals doing business as (DBA) an entity.
    • In the event the signers on the account are not the only owners of the account, we must be presented with a Corporate Resolution for OnLine banking access.
    HomeStar Bank may waive any or all of these standards in its sole discretion for a user.
  2. In the event the Bank authorizes a commercial customer use of and access to HomeStar OnLine, the Bank shall assign the Commercial User personal identification numbers (PIN) only to authorized signers on the account. The confidentiality of the Commercial User's PIN is the sole responsibility of the PIN holder and may be changed through HomeStar OnLine.
  3. Commercial User agrees that the following uses of HomeStar OnLine are strictly prohibited. Commercial User agrees to indemnify, hold harmless, and defend HomeStar Bank from and against all claims, actions, suits, judgments and expenses (including court costs and reasonable fees of attorneys, accountants and expert witnesses) at Commercial User's sole expense, arising from Commercial User's failure to abide by these restrictions on use of HomeStar OnLine:
    • Unauthorized communication of any information concerning any password or on-line access number, code, or identification or any other proprietary information belonging to any other person or entity;
    • Use of HomeStar OnLine to copy or distribute or transmit copies of copyrighted materials belonging to any other person or entity is permitted only to the extent the owner has the provided express permission to the User permitting such as copying or distribution or transmitting copyrighted materials other than with permission as specified above is expressly prohibited;';
    • Communicating any obscene or defamatory information including but not limited to on-line bulletin boards or in conjunction with e-mail; or
    • Use of HomeStar OnLine in violation of any telecommunication, postal, or other laws or regulations of the User's country of origin or of the United States or in furtherance or in the commission of any crime or other unlawful or improper purpose.
  4. HOMESTAR BANK AND ITS SUPPLIERS MAKE NO WARRANTIES OR REPRESENTATIONS OF ANY KIND WITH RESPECT TO HOMESTAR ONLINE, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE AND NEITHER HOMESTAR BANK NOR ITS SUPPLIERS NOR ANYONE ELSE WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION OR DELIVERY OF HOMESTAR ONLINE ASSUME ANY RESPONSIBILITIES WITH RESPECT TO USER'S USE THEREOF. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY HOMESTAR BANK OR ITS SUPPLIERS OR ANY OF THEIR EMPLOYEES SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY, AND USER MAY NOT RELY ON ANY SUCH INFORMATION OR ADVICE.
     
    Any cause of action concerning HomeStar OnLine under this Agreement must be commenced within one year after such cause of action has accrued.
  5. User further agrees:
    • Transmission of confidential business and sensitive personal information is at User's sole risk
    • HomeStar Bank reserves the right to monitor and review transmissions on-line and storage, and to remove or reject any material which HomeStar Bank, at its sole discretion, believes may be unlawful or objectionable, without prior notice to user.
    • In the event your accounts are not accessed for 120 days, your online access will be terminated.
  6. HomeStar OnLine users are also subject to all policies, procedures, conditions and other guidelines of HomeStar Bank, as amended from time to time.
